Terms of Service & Acceptable Use Policy
Last updated: 2026-06-18 · Version: 1.0 (closed beta)
These Terms of Service (“Terms”) govern your access to and use of Quarry (the “Service”), provided by Fillmore Partners GP LLC (“Quarry,” “we,” “us”). By accessing the Service or accepting these Terms, you agree to them on behalf of yourself and the organization you represent (“you,” “your workspace”). If you do not agree, do not use the Service.
1. The Service & closed beta
Quarry is a sourcing-intelligence platform. The Service is currently offered as a closed beta: access is invite-only, features may change or be withdrawn, and the Service is provided “as is” without uptime or availability commitments.
2. Accounts & access
- Access requires an invitation and authentication by email (one-time code, password, or passkey). You are responsible for the activity of all members you add to your workspace and for keeping access credentials secure.
- A workspace admin controls membership and roles. You agree to add only individuals authorized by your organization.
3. Your Content & ownership
- You own your Content. All theses, buy-boxes, mandates, candidate lists, dossiers, notes, and other data you create or upload (“Customer Content”) remain your property and your confidential information. We claim no ownership.
- You grant us only the limited license needed to host, process, and operate the Service for you (e.g., running enrichment, scoring, and storage on your behalf).
- Public, non-proprietary firmographic facts about third-party companies (e.g. filings, registrations) are not Customer Content and may be maintained in a shared reference layer; your analysis, scores, target lists, and outreach are Customer Content and are never shared with other customers.
4. Our confidentiality & access commitments
- We do not access your workspace Content except (a) as required to operate the Service, (b) with your explicit, time-boxed, revocable consent for support, or (c) as required by law. Platform operators cannot browse your theses or candidates without a support grant your workspace admin approves; every such access is logged and visible to you.
- We will not use your Customer Content to compete with you or disclose it to other customers or third parties except as permitted in these Terms or with your consent.
5. Acceptable Use Policy (AUP)
You agree NOT to, and not to permit any member to:
- Use the Service for any unlawful purpose, or in violation of any applicable law, regulation, or third-party right (including privacy, anti-spam, and securities laws).
- Send outreach that violates applicable anti-spam/communication laws, or harass, deceive, or defraud any person.
- Access, scrape, or use data sources in violation of their terms of service or applicable law; circumvent access controls; or misrepresent your identity.
- Reverse-engineer, decompile, resell, or sublicense the Service; probe or attack its security; or use it to build a competing product.
- Share credentials, exceed your authorized seats, or use the Service on behalf of a party that hasn't accepted these Terms.
- Upload malware, or content that is illegal, infringing, or that you lack the right to use.
Enforcement. We may suspend or terminate access (for a user or an entire workspace) for any AUP violation, with or without notice where warranted, and may remove violating content. Suspension blocks further access and re-registration.
6. Outputs are not advice
The Service surfaces research, estimates, and inferences from public and third-party sources. Outputs may be incomplete or inaccurate, are not warranted, and are not legal, financial, investment, tax, or professional advice. You are solely responsible for verifying information and for any decision you make. Many fields are intentionally marked unknown / “confirm on the call” — treat them as prompts, not facts.
7. Third-party sources & services
The Service relies on public records, third-party data sources, and infrastructure providers. We don't guarantee their accuracy or availability, and your use of any output sourced from them is at your own risk and subject to their terms.
8. Disclaimers & limitation of liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED USD $100, AND WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Term, suspension & termination
These Terms apply while you use the Service. You may stop at any time. We may suspend or terminate access for AUP violations, legal requirements, or to protect the Service or other customers. On termination, your access ends; we will handle your Customer Content per our data-retention and deletion practices (questions: [email protected]).
10. Changes to these Terms
We may update these Terms; material changes will be communicated and may require re-acceptance. Continued use after an update constitutes acceptance.
11. Governing law & contact
Governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Questions: [email protected].
